SURPLUS INVENTORY
PROPOSAL
Indian Airlines is
are interested in liquidating surplus inventory B737 aircraft, which is
procured from OEM’s and in few cases from the OEM accredited sources.
a. The scope of this offer is to sell at or
equivalent dollar prices in Indian rupees mentioned against each item.
For B-737 IA Delhi shall be the coordinator.

The surplus material listed will be available with the
following features / conditions:
3.1 Prices
indicated are ex-Indian Airports (at the city where the inventory is
available). Any taxes payable will be to the account of buyer.
3.2 Custom export
procedure upto handing over consignment to the
designated airline or your Cargo agent including Packing / forwarding and any
other incidental expenses upto that point will be
borne by IAL.
3.3 Freight charges, transit insurance
and any other charges from ex-Indian port where inventory is located to port of
destination, after handing over the material by IAL to airline or your agent
will be borne by buyer. Indian Airlines
shall not be responsible for any transit delay/damage.
3.4 Quantities
presently offered for sale are indicated against each item, which is subject to
change due to IAL internal use or otherwise.
3.5 Inspection
will be responsibility of buyer. Items
can be inspected at the warehouses of Indian Airlines located in India during
office hours on working days.
3.6 Delivery of the items will be subject to IAL
security regulations.
4. DOCUMENTATION
4.1 (a) All “New Unused” Spares sold by IAL will be
accompanied by FAA / JAA / Certificate of Conformance / Release Note by
IAL.
5. GENERAL TERMS
5.1 Indian Airlines shall not be liable for
consequential damages when its performance is delayed by unforeseen
circumstances like strike, fire, riot, war, rebellion, insurrection, acts of
God, failure or shortage of transportation facilities, governmental regulations
or other causes and circumstances beyond control.
5.2 All Surplus Spares sold by IAL hereunder shall
be deemed to be provided “as is” and “with all Faults”. Buyer will waive all
other warranties express or implied in respect to any item or service furnished
by IAL INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR
FITNESS FOR USE. The buyer shall defend,
indemnify and hold IAL harmless for any and all claims against IAL by purchase
of such Surplus Spares as a consequence of their failure to fulfill their
obligation with regard to documentation, storage etc. The buyer shall indemnify, protect, defend
and hold harmless IAL against any and all liability of any nature whatsoever
arising out of such surplus parts and materials.
6. PAYMENT:
6.1 Payment has to
be made in advance either by bank draft or by wire transfer, details for which
will be advised to you by Indian Airlines.
OR
6.2 A buyer can choose
to make a deposit of USD 25,000.00 with Indian Airlines from which IAL will
realize the proceeds for the orders executed. However, under such arrangement,
buyer will have to ensure that the floating fund does not deplete below USD
15,000.00 at any point of time.
7.
DISPUTE / ARBIRTATION
7.1
7.1 Any disputes or differences whatsoever
arising out of this sale / tender or contract which cannot be settled with
mutual discussion will be settled through arbitration at the city where the
actual sale has taken place in India under and in accordance
with the provisions of Indian Arbitration Law in force.
